FleetSynq Terms of Service

1. Acceptance

These Terms of Service (“Terms”) govern access to and use of FleetSynq, a freight-operations platform for dispatchers, back-office teams, fleet administrators, drivers, and other authorized users (the “Service”). By accessing or using the Service, you agree to these Terms. If you use FleetSynq for a company, carrier, broker, or other organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.

A master services agreement, order form, statement of work, service-level agreement, data processing addendum, pilot agreement, or other written agreement signed by AquilaIQ and a customer (a “Customer Agreement”) may apply. If these Terms conflict with a Customer Agreement, that Customer Agreement controls for the affected customer and Service.

2. What FleetSynq Does

FleetSynq supports the freight-load lifecycle from intake through payment operations. Depending on the customer’s configuration and authorized role, the Service may:

Features, limits, integrations, and availability may vary by Customer Agreement, role, deployment, or configuration. AquilaIQ may improve, modify, or discontinue a feature with reasonable notice where the change materially affects contracted functionality.

3. Eligibility and Authorized Users

FleetSynq is an enterprise service, not a consumer service. You must be at least 18 years old and legally capable of entering an agreement. You may use only the roles and resources assigned to you by the customer’s administrator.

Administrators are responsible for inviting and assigning users, granting least-privileged access, keeping company and notification details accurate, and promptly removing users or driver links that no longer need access. Each user is responsible for protecting credentials, capability links, and devices and for promptly reporting suspected unauthorized access.

4. Customer Systems and Authorizations

FleetSynq relies on customer-authorized systems and data. During company setup, an administrator may connect Google Workspace permissions for Sheets, Drive, email sending, email read-only access, and the account email needed for onboarding. The customer represents that it has the authority to grant those permissions and instruct AquilaIQ to use the connected resources.

The customer is responsible for maintaining its Google Workspace account, OAuth permissions, Drive and Sheet structure, broker and carrier relationships, email recipients, and any third-party account used with FleetSynq. Revoking an integration or changing its permissions may limit or disable related features.

You may not use FleetSynq to:

6. Customer Data and Content

“Customer Data” means data and content submitted to, connected with, stored in, or generated through a customer’s use of FleetSynq, including company and user profiles, driver and carrier records, loads, routes, rates, broker information, addresses, appointment details, payment and invoice information, claims, layover and detention records, uploaded Rate Confirmations, Broker Credit Checks, POD/BOL files, revised Rate Confirmations, payment statements, emails and message content processed through authorized Gmail workflows, Google Sheet and Drive data, audit events, workflow state, and AI-extracted fields.

As between AquilaIQ and the customer, the customer retains its rights in Customer Data. The customer grants AquilaIQ and approved service providers a limited, non-exclusive right to host, store, transmit, parse, transform, analyze, and otherwise process Customer Data to provide, secure, support, troubleshoot, and improve FleetSynq as permitted by the Customer Agreement and applicable law. This grant does not transfer ownership of Customer Data to AquilaIQ.

AquilaIQ may create aggregated or de-identified operational metrics that cannot reasonably identify a customer, user, driver, carrier, broker, or other person. Use of such information remains subject to the Customer Agreement and applicable law.

8. AI-Assisted Features

FleetSynq uses Google Gemini for document text and image extraction and may use AI-generated structured data in intake and reconciliation workflows. AI results can be incomplete, inaccurate, delayed, or affected by document quality, handwriting, image layout, missing pages, conflicting documents, model limitations, or malformed inputs. AI output is an assistive draft, not a verified fact or instruction.

Users must compare extracted broker, carrier, load, route, rate, appointment, payment, and instruction data with the source documents before committing data, sending email, marking a load paid, or acting on a workflow result. AquilaIQ does not guarantee that AI will identify every field, error, duplicate, fraud indicator, or discrepancy.

9. Third-Party Services

FleetSynq integrates with or may depend on third-party services, including Supabase for authentication and data storage, Google Workspace services (OAuth, Sheets, Drive, and Gmail), Google Gemini for AI extraction, and customer-selected carrier, broker, payment, or other systems. Third-party services may process Customer Data under their own terms and privacy policies and may experience outages or change their APIs, scopes, limits, or requirements.

AquilaIQ is not responsible for a customer-controlled third-party account, a provider’s independent processing, or an outage outside AquilaIQ’s reasonable control. The customer must review and maintain the permissions it grants to third parties.

10. Fees, Billing, and Taxes

Fees, plan limits, renewal, support, implementation, and payment terms are governed by the applicable Customer Agreement or order form. Unless that agreement says otherwise, invoices are due according to their stated terms, fees are non-refundable except as required by law, and taxes are the customer’s responsibility except taxes on AquilaIQ’s net income. AquilaIQ may suspend paid features for overdue undisputed amounts after reasonable notice.

FleetSynq processes operational payment statements and payment-status records; it does not by itself establish a consumer payment processor or payment-card service. No raw card or bank credentials should be uploaded to FleetSynq unless expressly authorized in a Customer Agreement and documented by AquilaIQ.

11. Intellectual Property

AquilaIQ and its licensors own FleetSynq, its software, workflows, interfaces, documentation, models, extraction prompts, designs, trademarks, and related technology. Subject to these Terms and the Customer Agreement, AquilaIQ grants authorized users a limited, non-exclusive, non-transferable right to use FleetSynq during the applicable term. No rights to AquilaIQ marks or source code are granted.

If you provide feedback, you grant AquilaIQ a perpetual, worldwide, royalty-free right to use that feedback without identifying you or disclosing Customer Data.

12. Availability and Security

AquilaIQ will use reasonable efforts to operate and protect FleetSynq. The current implementation includes authenticated protected routes, role checks, company-scoped access, hashed capability tokens, provider-specific resource boundaries, input and file validation, rate limits, audit events, operation leases, and security headers. Controls can change by deployment and do not guarantee that unauthorized access, data loss, provider failure, or every security threat will be prevented.

FleetSynq is provided on an “as is” and “as available” basis unless a Customer Agreement expressly provides a service level. Maintenance, network failures, Google or Supabase outages, model availability, provider limits, malformed source files, and customer configuration can interrupt or degrade the Service.

13. Disclaimers

To the maximum extent permitted by law, AquilaIQ disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation. AquilaIQ does not warrant that every document will be extracted correctly, every payment will be matched correctly, every email will be delivered exactly once, or every workflow will complete without review. Nothing excludes a warranty or right that cannot legally be excluded.

14. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, goodwill, business opportunities, or data, even if advised of the possibility. Except for liability that cannot legally be limited and any different allocation in a Customer Agreement, each party’s aggregate liability arising from these Terms or the Service will not exceed the fees paid or payable to AquilaIQ for the affected Service during the 12 months before the event giving rise to the claim. Counsel must approve this section before publication.

15. Indemnification

To the extent permitted by law and unless a Customer Agreement provides otherwise, the customer will defend and indemnify AquilaIQ and its personnel against third-party claims arising from unlawful Customer Data, the customer’s violation of Sections 5 or 7, or the customer’s infringement of third-party rights. AquilaIQ will provide prompt notice and reasonable cooperation. The customer may control the defense, provided that it does not admit fault or impose non-monetary obligations on AquilaIQ without AquilaIQ’s consent. Counsel must approve this section before publication.

16. Suspension, Termination, and Data Handling

A customer may stop using FleetSynq subject to its Customer Agreement. AquilaIQ may suspend access for material breach, nonpayment, security risk, unlawful use, or harm to FleetSynq or others, giving reasonable notice where circumstances permit. Either party may terminate as stated in the Customer Agreement.

After termination, access ends and Customer Data is returned, retained, or deleted according to the Customer Agreement, AquilaIQ’s documented deletion process, provider and backup cycles, and legal obligations. Because FleetSynq synchronizes selected information with customer-controlled Google Sheets, Drive, Gmail, and other systems, termination of FleetSynq does not automatically delete copies held in those systems. Provisions that should survive by their nature will survive, including ownership, disclaimers, limitations, indemnification, confidentiality, and dispute provisions.

17. Governing Law and Venue

Unless a Customer Agreement states otherwise, Delaware law governs these Terms without regard to conflict-of-law principles. The state and federal courts located in Delaware have exclusive jurisdiction, and each party consents to personal jurisdiction and venue there. Counsel must confirm the final venue language.

18. Changes

AquilaIQ may update these Terms by posting a revised version and effective date. We will provide reasonable notice of material changes to active customers by email, in-product notice, or another appropriate method. Changes apply prospectively from their effective date. If you do not agree, stop using the affected Service, subject to the Customer Agreement.

19. General

These Terms and applicable Customer Agreements are the entire agreement about their subject matter. A delayed enforcement of a right is not a waiver. If a provision is unenforceable, it will be limited to the minimum extent necessary and the rest will remain effective. You may not assign these Terms without consent, except as part of a permitted reorganization or sale; AquilaIQ may assign them to an affiliate or successor. Neither party is liable for delay caused by events beyond reasonable control. Headings are for convenience.
